1. Acceptance of Terms

By accessing or using the InstantReply web platform and mobile applications (iOS and Android) (collectively, the "Service"), developed by AssemblyNest, you agree to be bound by these Terms of Service. The Service is a Business-to-Business (B2B) tool designed to help business owners manage, translate, and reply to their Google Business Profile reviews utilizing Artificial Intelligence (AI).

2. Authentication and Account Registration

To use the Service, you must securely authenticate using your Google account. By doing so, you grant InstantReply permission to fetch associated business locations, synchronize incoming Google reviews, and publish replies on your behalf. You also consent to receiving push notifications via our mobile application regarding new customer feedback.

3. Subscriptions and Payments

• Pro Membership: Full automated AI reply generation and real-time push notifications require an active "Pro" subscription.
• Billing Cycles: Subscriptions are billed on a recurring Monthly or Yearly basis.
• Payment Processing: All payments are handled securely via Stripe. InstantReply does not store sensitive credit card data on its servers; we retain only necessary reference IDs (such as Stripe Customer and Subscription IDs).
• Cancellations and Refunds: As a B2B service providing immediate access to digital infrastructure and AI generation, all subscription charges are non-refundable to the maximum extent permitted by law. You may cancel your subscription at any time to prevent future billing, but no prorated refunds will be issued for partially used billing periods.

4. User Responsibilities and Content Liability

• Human Oversight: InstantReply utilizes advanced AI models (including OpenAI) to generate draft responses. You assume ultimate and sole responsibility for reviewing, approving, and publishing all content to your Google Business Profile.
• Liability Waiver: AssemblyNest and InstantReply shall not be held liable for any negative outcomes, reputational damage, loss of business, or financial losses resulting from automatically generated, translated, or user-approved replies.
• Acceptable Use: You agree to abide by Google's own policies regarding review manipulation, prohibited content, and customer engagement.

5. Third-Party Services and Availability

• API Dependency: InstantReply's core functionality relies entirely upon the uptime and availability of third-party services, specifically Google Business Profile APIs, OpenAI, and Expo Push Notification services.
• Service Outages: We are not liable for service interruptions, delayed notifications, or fetching limitations caused by external service outages, API quota restrictions, or changes to third-party terms and conditions.

6. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which outlines how we collect, process, and protect your data in compliance with the General Data Protection Regulation (GDPR). By using the Service, you consent to our data practices as described therein.

7. Governing Law and Jurisdiction

These Terms of Service, and any dispute or claim arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws of the Republic of Ireland. The courts of Ireland shall have exclusive jurisdiction to settle any dispute or claim arising out of your use of the Service.

8. Changes to Terms

We may update these Terms from time to time. We will post the updated version on this page and update the "Last updated" date. Continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
