Terms of Service

1. Acceptance of Terms

By accessing or using InstantReply (the "Service"), a Software-as-a-Service (SaaS) application developed by AssemblyNest Ltd., you agree to be bound by these Terms of Service. InstantReply provides a platform to help business owners manage and reply to their Google Business Profile reviews utilizing Artificial Intelligence (AI).

2. Authentication and Account Registration

To use the Service, users must securely sign in using their Google accounts. By authenticating, you grant InstantReply permission to fetch associated business locations and synchronize incoming Google reviews.

3. Subscriptions and Payments

  • Pro Club Membership: Full automated reply functionality requires an active "Pro" subscription.
  • Billing Cycles: Subscriptions are offered on a recurring Monthly or Yearly basis.
  • Payment Processing: All payments are handled securely via Stripe. InstantReply does not store sensitive credit card data on its servers; we only retain reference IDs, such as Stripe Customer and Subscription IDs.
  • Cancellations and Refunds: Due to the digital nature of the tool and the direct costs associated with AI processing, all subscription charges are non-refundable. Users may cancel their subscription at any time to prevent future billing, but no prorated refunds will be issued for partially used billing periods.

4. User Responsibilities and Content

  • Human Oversight: While InstantReply utilizes AI to generate draft responses, the user assumes ultimate responsibility for all content submitted and published to Google.
  • Liability Waiver: AssemblyNest Ltd. and InstantReply are not responsible or liable for any negative outcomes, reputational damage, or financial losses resulting from automatically generated or user-approved replies.
  • Compliance with Google Policies: Users agree to abide by Google's own policies regarding review manipulation, prohibited content, and engagement when replying to customers.

5. Third-Party Services and Limitations

  • API Availability: InstantReply's functionality is strictly contingent upon the uptime and availability of third-party APIs, including Google and our AI partners.
  • Outages: We are not liable for service interruptions caused by external service outages or changes to third-party API terms.
  • Service Tiers: During onboarding or specific free tiers, users may interact with mock data or experience fetching limitations due to API quotas; this is a standard operational boundary.

6. Changes to Terms

We may update these Terms from time to time. We will post the updated version on this page and update the "Last updated" date. Continued use after changes become effective constitutes acceptance of the revised Terms where permitted by law.
